DS Smith to Acquire Europac – Key Highlights



DS Smith, a leading manufacturer of corrugated packaging in Europe, has announced to acquire Europac Group, a vertically-integrated packaging manufacturer in Western Europe, at an offer price of 16.8 Euro/Share which implies entire share capital of Europac is valued at 1,659 million euros.


After the acquisition, DS Smith is planning to divest its three corrugated facilities in Portugal and France which in turn expected to face competition concerns from European Commission. However, In November 2018, the acquisition has been approved by The European Commission under the condition that DS Smith has to divest two of its own plants in France and Europac’s corrugated sheet and box plant in Ovar, Portugal. The Europac’s acquisition by DS Smith Group is expected to complete by February 2019.


The acquisition will open new growth frontiers and add substantial synergies to financial as well as materialistic performance of DS Smith Plc. It will not only expand DS Smith’s global presence but also create significant value to its customers located across the world. Acquisition of Europac Group will strengthen DS Smith’s presence and boost market share in the global corrugated packaging market.

Europac is highly vertically-integrated packaging company with large number of clients spanning in FMCG industry. The company is 42% family-owned enterprise and is listed on Spanish Stock Exchange. Europac generated net annual sales of 868 million euros and had EBITDA of 158 million euros in 2017.
